1. Partner Program Overview
Welcome to the eSIMNest Partner Program. These Partner Terms and Conditions ("Partner Terms") govern your participation as a partner in our eSIM distribution network.

- Access to wholesale eSIM pricing
- Dedicated Partner Dashboard for order management
- Priority customer support
- Marketing resources and co-branding opportunities
- Points-based ordering system for seamless transactions
By registering as a partner or using our partner services, you agree to be bound by these Partner Terms in addition to our general Terms of Service and Privacy Policy.
2. Eligibility & Registration
To participate in the eSIMNest Partner Program, you must:
- Be a legally registered business entity
- Have a valid business registration or incorporation document
- Provide accurate and complete business information
- Agree to these Partner Terms and our general Terms of Service
- Pass our partner verification process
Verification Required
All partner applications are subject to verification. We reserve the right to reject any application or terminate partner status at our discretion.
3. Partner Obligations
As an eSIMNest Partner, you agree to:
- Maintain accurate and up-to-date business information
- Comply with all applicable laws and regulations
- Not misrepresent eSIMNest services or pricing
- Provide accurate information to your customers
- Handle customer data in compliance with privacy regulations
- Not engage in fraudulent or deceptive practices
- Maintain sufficient Points Balance for order placement
4. Pricing & Commissions
Partner pricing is determined by your partnership tier and volume commitments. All prices shown in your Partner Dashboard are wholesale prices exclusive of applicable taxes.
Pricing Structure
- Prices are denominated in your selected points currency
- Wholesale discounts are applied automatically at checkout
- Volume-based pricing tiers may apply based on monthly order volume
Price Changes
We reserve the right to modify partner pricing with 30 days notice. Price changes will not affect existing orders or committed Points.
5. Intellectual Property
eSIMNest grants partners a limited, non-exclusive license to use our trademarks and marketing materials solely for promoting eSIMNest products. This license is subject to:
- Compliance with our brand guidelines
- Prior approval for co-branded materials
- Immediate cessation upon partnership termination
6. Confidentiality
Partners agree to maintain the confidentiality of:
- Wholesale pricing and discount structures
- Technical integration details and API credentials
- Business strategies and roadmap information
- Customer data processed on our platform
7. Limitation of Liability
To the maximum extent permitted by law, eSIMNest's liability to partners is limited to the amount of Points purchased in the preceding 12 months.
Exclusions
eSIMNest is not liable for indirect, consequential, or punitive damages arising from partnership activities, including but not limited to lost profits, business interruption, or reputational harm.
8. Points System Terms and Conditions
About the Points System
The eSIMNest Points System is a pre-paid account facility that enables partners to efficiently place orders for eSIM products. Points provide a streamlined ordering experience with automatic balance deduction.
8.1 Points Account
Upon approval as a Partner, you will be assigned a Points Account for pre-paid ordering of eSIM products.
Points are denominated in the currency you select during your first top-up. This currency selection is permanent and cannot be changed.
Your Points Account balance is visible in your Partner Dashboard at all times.
8.2 Points Top-Up
Minimum top-up amount is USD $100 (one hundred United States Dollars) equivalent in your selected currency.
Currency conversion uses the prevailing exchange rate at the time of top-up, plus a 1.5% processing fee. This rate is displayed before you confirm your top-up.
Minimum top-up amounts in other currencies are rounded up to the nearest whole unit after conversion (e.g., €92 instead of €91.35).
Top-ups are processed through our payment gateway. Payment method charges may apply separately by your payment provider.
8.3 Points Expiry

Points expire 12 months from the date of top-up. This policy is non-negotiable and cannot be extended.

When placing orders, the oldest non-expired Points are used first (FIFO - First-In-First-Out).
You will receive notifications at 30 days, 7 days, and 1 day before Points expire.
Expired Points are forfeited and cannot be recovered, refunded, or transferred.
8.4 Points Usage
Points may only be used to purchase eSIM products through your Partner Dashboard.
You may place orders on your own behalf or on behalf of your customers.
Order placement is blocked if your Points Balance is insufficient. You must top-up before proceeding.
Prices displayed in your Partner Dashboard are in your points currency.
8.5 Non-Refundable Points
Non-Refundable Policy
Points are non-refundable once topped-up. Please ensure you understand the Points System before making your first top-up.
Points are non-refundable. Once topped-up, Points cannot be converted back to cash or transferred to another payment method.
In the event of order cancellation or refund, the refunded amount will be credited back to your Points Account (not refunded to your payment method). Refunded Points receive a new 12-month expiry period from the refund date.
We reserve the right to deduct Points for chargebacks, disputes, or violations of these terms.
8.6 Auto Top-Up
You may enable automatic top-up when your balance falls below a threshold you specify.
Auto top-up requires a payment method that supports recurring charges. Not all payment methods are eligible.
You are responsible for ensuring your payment method remains valid and has sufficient funds.
If auto top-up fails three (3) consecutive times, the feature will be automatically disabled. You must manually re-enable it after resolving the payment issue.
We are not liable for order failures due to insufficient Points Balance when auto top-up fails.
8.7 Account Termination
Points Upon Termination
Upon termination of your Partner account, all remaining Points are forfeited. Please exhaust your Points Balance before requesting account termination.

We may, at our sole discretion, provide a partial points refund in cases of account termination initiated by us for reasons other than your breach of terms.
8.8 Partner Funding of Customer Rewards
All customer points issued through the Reward Bonus programme and Referral Rewards programme are funded by the Partner's credit account. When a customer earns points as a result of an order placed through your storefront, the equivalent point value is automatically deducted from your Partner credit account balance.
Reward Bonus Funding: When the Reward Bonus feature is enabled and a customer's order reaches completion, the reward bonus amount (calculated as a percentage of the order total) is deducted from your Partner credit account to fund the customer's points.
Referral Reward Funding: When a referred customer's order reaches completion, the referral reward amount (calculated based on the referral pool percentage and level allocations) is deducted from your Partner credit account to fund the referrer's points.
Insufficient Balance: If your Partner credit account does not have sufficient balance at the time of order completion, customer points will not be issued for that order. It is your responsibility to maintain adequate funds in your Partner credit account to ensure uninterrupted customer reward issuance.
Transaction Records: All deductions for customer reward funding are recorded as individual transactions in your Partner credit account and are visible in your Partner Dashboard under Points Transactions.
We reserve the right to modify the terms of partner funding, including adjusting percentages, introducing caps, or changing the deduction mechanism, with reasonable notice.
9. Platform Feature Management
eSIMNest reserves the right to control which platform features are available to each partner through a centralized Feature Management system. This allows us to tailor the platform experience to each partner's plan, compliance requirements, and operational needs.
9.1 Feature Groups
Platform capabilities are organized into feature groups (e.g., CMS, API Integration, Payment Providers, Referral Program, Real-Time Dashboard, Support Tickets, Website Publishing, Store Configuration, Organization Setup, Category Images). Each group may be independently enabled or disabled for your account.
9.2 Feature Availability
- Feature availability is determined by your partner tier, subscription plan, and any additional agreements.
- eSIMNest may enable or disable feature groups at any time, with or without prior notice, for operational, compliance, or business reasons.
- When a feature group is disabled, all associated dashboard sections, API endpoints, and permissions become inaccessible regardless of role-level grants configured by you.
9.3 Effect of Disabling Features
When a feature group is disabled for your account:
- Related navigation items will be hidden from the Partner Dashboard
- API calls to disabled features will return an access-denied response
- Permissions assigned to team members under disabled features will have no effect
- Existing data associated with the disabled feature is preserved and becomes accessible again if the feature is re-enabled
9.4 No Guarantee of Feature Availability
eSIMNest does not guarantee that any specific feature will remain available throughout the term of your partnership. We may modify, replace, or discontinue features as part of platform evolution. Partners will receive reasonable notice for material changes via email or the Partner Dashboard.
9.5 Payment Provider Control
Individual payment providers (e.g., Stripe, RevolutPay, Google Pay, Points) may be enabled or disabled independently. Disabling a payment provider removes it as a checkout option for your customers and hides the associated configuration from your dashboard.
10. Termination
Either party may terminate this partnership by providing written notice. Upon termination:
- Partner access to the Partner Dashboard will be revoked
- All outstanding Points will be forfeited (see Section 8.7)
- Pending orders may be cancelled
- Confidentiality obligations continue to apply
- All licenses to use eSIMNest intellectual property terminate immediately
Grounds for Immediate Termination
We may terminate your partnership immediately without notice if:
- You breach these Partner Terms or our general Terms of Service
- You engage in fraudulent or illegal activities
- Your actions harm eSIMNest's reputation
- You fail to maintain required business licenses
- You misuse the Points System or engage in suspicious transactions
11. Governing Law
These Partner Terms are governed by the laws of Ireland. Any disputes arising from these terms shall be resolved through arbitration in Ireland under the applicable arbitration rules in Ireland.
12. Changes to Terms
We may update these Partner Terms from time to time. Partners will be notified of material changes via email or through the Partner Dashboard at least 30 days before they take effect.
